“Consummation of the divestiture is contingent on a number of conditions, including the consummation of the previously announced merger transaction,” Amedisys wrote in a June 28 regulatory filing.
Optum announced its intent to acquire Amedisys for $3.3 billion in June 2023. Amedisys shareholders approved the deal in September, but it is under review by the Justice Department. Lawmakers have also urged careful scrutiny of the deal, and Oregon regulators have launched their own probe into the acquisition.
In May, the two companies reportedly offered to sell 100 clinics to a private equity buyer to make the deal more palatable to regulators. The merger is expected to close in the second half of 2024.
Amedisys provides home healthcare, hospice and palliative care. It operates more than 500 clinics in 37 states.
