UnitedHealth Group acquisition of LHC Group may close in December: report

UnitedHealth Group's acquisition of Lafayette, La.-based home-health firm LHC Group is on track to be completed in December, Seeking Alpha reported Nov. 8. 

The parties are said to have substantially complied with the Federal Trade Commission's second request into the acquisition, Seeking Alpha wrote, referencing a Dealreporter report. The agency is expected to close its information request quietly. 

UnitedHealth Group's Optum unit agreed to buy LHC in late March in a $5.4 billion deal. UnitedHealth said at the time it expected to close the deal in the second half of the year. 

The FTC on June 10 requested additional information regarding the proposed acquisition. The request also extended the waiting period the FTC is allowed to challenge the proposal under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 until the 30th day after "substantial compliance" with the request. Seeking Alpha reported in July that the FTC's request for information centered around employee compensation within the home healthcare industry. 

A UnitedHealth Group spokesperson told Becker's in a Nov. 8 email the company had "nothing new to share beyond previous public comments" regarding when the acquisition is expected to be completed. 

LHC did not conduct a third-quarter earnings call due to the pending UnitedHealth Group acquisition, the company stated in its financial report released Nov. 2.
