Amedisys, UnitedHealth find buyers for proposed divestiture

UnitedHealth Group and Amedisys have reached a deal to divest some home health and hospice clinics to BrightSpring Health and the Pennant Group. 

According to a May 1 regulatory filing, the two companies reached a deal to sell certain home health and hospice centers to BrightSpring and some home health centers to the Pennant Group. 

UnitedHealth and Amedisys did not disclose the number of clinics they would sell in the filing, but the companies previously proposed selling a minimum of 128 facilities. 

The sales are aimed at resolving antitrust concerns over UnitedHealth’s planned acquisition of Amedisys. In November 2024, the Department of Justice sued the two over the proposed merger, alleging the combination would harm competition in home health markets in several states. 

BrightSpring operates hospice, community living, and home health facilities. The Pennant Group operates 103 home health and hospice agencies. 

Amedisys and UnitedHealth Group first said they intended to merge in June 2023. The merger has yet to receive regulatory approval. Baton Rouge, La.-based Amedisys operates more than 500 home health, hospice and high-acuity care centers in 37 states.
