Optum, Atrius Health's $236M merger receives final approval

The Massachusetts Supreme Court approved a $236 million merger between UnitedHealth Group subsidiary Optum and Atrius Health on April 29, Atrius Health confirmed to Becker's.

The $236 million in proceeds will be given to a foundation that does charitable work similar to Atrius' mission. Optum will also invest $200 million into Atrius over five years for provider recruitment and infrastructure.

"We are very pleased to have achieved this important milestone and look forward to completing the process to become part of Optum. In doing so, Atrius Health is excited to build on our decades-long commitment of supporting our patients with high-quality care," Atrius President and CEO Steve Strongwater, MD, told Becker's in a statement. "As part of Optum, Atrius Health will remain committed to our same mission, vision and values for patient care, and will continue to care for patients through multiple insurance plans."

Atrius Health employs 645 physicians and primary care providers, along with 421 additional clinicians.

The acquisition had received prior approval from the Massachusetts attorney general in April.

The final approval comes after the two organizations first signed an acquisition agreement in March 2021. The deal had also been under scrutiny by state regulators since last summer.
