UnitedHealth's top lawyer earned $11M amid DOJ fight over Change Healthcare

UnitedHealth Group's chief legal officer Rupert Bondy received a total compensation package of $11.3 million in 2022 as the company fought the Justice Department's attempt to block an acquisition of data company Change Healthcare.

The $7.8 billion merger between Optum and Change was approved in September, and the DOJ dropped its appeal of the case in March.

Mr. Bondy was named executive vice president and chief legal officer at UnitedHealth Group in February 2022. He became corporate secretary last April, according to SEC filings posted April 21. 

Compensation breakdown:

  • Base salary: $706,731
  • Bonus: $2 million
  • Stock awards: $5.9 million
  • Option awards: $1.1 million
  • Non-equity incentive plan compensation: $1.1 million
  • Other compensation: $519, 216
  • Total: $11.3 million

Previously, Mr. Bondy served in executive legal positions at Reckitt Benckiser Group and BP. He succeeded Matthew Friedrich, who became chief legal officer in January 2021.
