Change Healthcare said to seek reversal fee in UnitedHealth deal

Change Healthcare reportedly wants a "sizable" breakup fee if its proposed acquisition by UnitedHealth Group falls through, according to Radiology Business.

Board members with the Nashville, Tenn.-based healthcare technology company have allegedly discussed a "reverse fee" of at least 5 percent.

A reverse fee was not part of the original $8 billion merger and acquisition deal with UnitedHealth Group. If the acquisition fails, Change Healthcare board members could receive hundreds of millions from the reversal fee.

The Justice Department sued to stop the merger in February, claiming it could undermine competition for health insurance and stifle innovation. UnitedHealth has said it would defend the merger deal in court.

The walk date for the transaction is April 5, according to Radiology Business.

The Justice Department trial is set for Aug. 1 and will last 12 days.

Becker's asked Change Healthcare for a statement on the alleged reversal fee but has not heard back.
