TPG has completed its acquisition of Optum UK, a subsidiary of UnitedHealth Group whose core asset is EMIS Group, a healthcare software company used by the United Kingdom’s NHS.
The deal closed March 13, according to UK regulatory filings, and UnitedHealth confirmed the divestiture on April 21, noting $400 million in net proceeds to the United Health Foundation. No additional information was available from UnitedHealth or TPG.
The deal had been anticipated since January, when Sky News first reported that TPG was in advanced talks to acquire the unit in a deal valued between approximately £1.2 billion and £1.4 billion. Healthcare Dealflow first reported on the completed sale April 23.
Optum acquired EMIS Group in October 2023 for approximately £1.2 billion. EMIS supplies data management systems to the NHS, including the electronic patient record system used by most of its general practitioners, as well as pharmacy patient medical records, data analytics, hospital care software, life sciences tools, medicine optimization software and population health management products.
Since 2022, UnitedHealth has sold multiple international businesses as part of a broader effort to refocus on its U.S. operations, including its assets in South America.
