UnitedHealth closes acquisition of UK company

UnitedHealth Group has completed its acquisition of health technology firm EMIS Group, according to an Oct. 27 EMIS Group news release.

Bordeaux UK Holdings II — a unit of UnitedHealth's Optum business — agreed to acquire the U.K.-based EMIS Group in January 2022 in a $1.51 billion deal. The U.K.'s Competition and Markets Authority gave the acquisition the green light in late September following an investigation.

EMIS supplies data management systems to the U.K.'s National Health Service, including the electronic patient record system used by most NHS general practitioners. The Competition and Markets Authority's investigation was based on concerns the deal would allow Optum to limit its competitors' access to the data held within EMIS' patient record system or to degrade the digital connections to the system, which rivals rely on to provide integrated software.

The regulator's investigation found that the deal does not raise competitive concerns.

EMIS said in the release it will remain a predominantly U.K.-based business and the acquisition will allow it to "continue to develop and expand our business in the U.K. through accelerated investment in healthcare technology innovation."
