UnitedHealth Group has appointed a new lead independent director and formed a public responsibility committee.
F. William McNabb will assume the role of lead independent director from Michele Hooper, who will continue to serve as a director, according to an Aug. 20 Securities and Exchange Commission filing.
Mr. McNabb has served on UnitedHealth’s board of directors since 2018 and has expertise in regulatory, finance and capital markets, according to the filing. He previously served as chairman and CEO of Vanguard Group. He is also a director at IBM.
Ms. Hooper will serve as the chair of the newly formed public responsibility committee. The committee will be tasked with monitoring and overseeing financial, regulatory and reputational risks that “may affect the company’s operation and mission.”
Ms. Hooper joined UnitedHealth’s board in 2007 and had served as lead independent director since 2022. She is the president and CEO of the Directors Council, an organization that advises corporations on strengthening and diversifying corporate boards. She is also on the board of United Airlines and serves as audit committee chair.
